Terms, Conditions and Representations

1. (“Your Nerd FZ LLC” or “the Company”) is a software development, IT management, and digital content creation Free Zone Limited Liability Company (“FZ-LLC”), registered in Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates.

2. The business of Your Nerd FZ LLC is to provide technology services, including custom software development, hosting, IT consulting, and digital content/media solutions. Certain proprietary software developed by the Company is confidential and will not be made available for inspection in any circumstances, except with the authorisation of the Board of Your Nerd FZ LLC. Such software is of a specialised and complex nature and is only available for use under the hosting or service agreements provided by the Company.

3. Your Nerd FZ LLC shall not be responsible or liable for any direct, indirect, incidental, consequential, or other losses or damages, including but not limited to loss of profits, business interruption, data loss, or other intangible damages, even if arising out of or relating to:

(i) the use of the Company’s software, platforms, or services, or any information contained therein; (ii) any errors, omissions, downtime, or inability to access the software or services; (iii) the cost of procuring substitute services; or (iv) unauthorized access, hacking, or breaches of client accounts by third parties.

4. Your Nerd FZ LLC will raise invoices as deemed appropriate, which may be as often as weekly. These invoices will be for services provided by Your Nerd FZ LLC. If an invoice is not paid within 7 days, accounts may be suspended, and if not paid within 14 days, accounts may be terminated and removed from the Company’s hosting servers.

5. By agreeing to these Terms, Conditions, and Representations, Clients declare that they will not use the Company’s services, software, or content for any unlawful or unauthorized purpose under the laws of the United Arab Emirates.

6. Your Nerd FZ LLC may be required, in certain circumstances, to disclose information in good faith and where the Company is obligated to do so in the following cases: (i) by law or by any court or competent authority in the UAE; or (ii) to protect the rights, property, or safety of Your Nerd FZ LLC, its customers, or third parties.

7. Your Nerd FZ LLC reserves the right to change, modify, add, or remove portions of these terms at any time. Clients will be informed of any changes, and continued use of the Company’s software or services after notification shall constitute acceptance of the revised terms.

8. These Terms, Conditions, and Representations, and all matters relating to the Company’s software and services, are subject to the laws of the United Arab Emirates. In the event of a dispute between a Client and Your Nerd FZ LLC, the matter must be submitted to the jurisdiction of the competent courts of Ras Al Khaimah, UAE.
